Convoy Terms of Use

1. Agreement to These Terms

By downloading, installing, accessing, or using Convoy (the "App"), you agree to these Terms of Use ("Terms"). The App is provided by Osprey Studios Limited ("we," "us," or "our").

If you do not agree to these Terms, do not use the App.

2. What Convoy Is

Convoy is a social drive coordination and personal drive journal app. The App may help users share location with chosen friends or groups, organise meetups, view drive summaries, and compare limited friend or group activity statistics.

Convoy is not a racing app, speed competition app, emergency service, driver-assistance system, law-enforcement tool, safety-monitoring system, or substitute for your own judgment.

Any statistics, location information, route information, speed information, arrival estimates, or telemetry shown in the App are provided for informational and social coordination purposes only. They are not instructions, recommendations, challenges, or encouragement to drive faster or unsafely.

3. Safe and Lawful Use

You must always obey all applicable traffic laws, speed limits, road rules, signs, and police or emergency directions.

You must not use Convoy to organise, promote, participate in, record for competition, compare for competition, or encourage:

  • speeding;
  • street racing;
  • racing on public roads;
  • stunts;
  • reckless or dangerous driving;
  • distracted driving;
  • illegal road use; or
  • any unsafe activity.

You must not interact with the App while driving in a way that distracts you or violates applicable law. If the App is used while a vehicle is moving, it must be used only by a passenger or through lawful hands-free operation.

You are solely responsible for your driving decisions and conduct.

4. User Representations

By using Convoy, you represent and warrant that:

  • you will use the App only for lawful purposes;
  • you will obey all traffic and safety laws;
  • you will not use the App to encourage or take part in racing, speeding, reckless driving, or illegal road use;
  • you will not rely on the App as a safety, emergency, navigation-safety, or driver-assistance service;
  • you are legally allowed to use the App in your location; and
  • if you drive, you are legally licensed or otherwise permitted to operate the vehicle you are using.

You must be at least 13 years old to use the App. If you are under the age of majority where you live, you may use the App only with consent from a parent or legal guardian.

5. Stats, Telemetry, and Accuracy

Convoy may use GPS, device sensors, network information, and user-provided information to generate location sharing, route history, drive summaries, and activity statistics.

Telemetry and GPS data can be inaccurate, delayed, unavailable, or incomplete. You should not rely on the App to determine whether it is safe or legal to drive, stop, turn, accelerate, continue, or meet others.

We may limit, hide, remove, modify, or stop displaying any statistic or feature at any time, especially where we believe it may be misused or create safety, legal, privacy, or platform-compliance risk.

6. Location Sharing Safety

Convoy may allow you to share live or recent location information with friends, groups, or convoy members you choose. Sharing your location can create personal safety and security risks, including unwanted contact, stalking, theft, robbery, harassment, or other harm.

You are responsible for choosing who you connect with, who you share your location with, and when location sharing is enabled. Only share your location with people you know and trust. Do not share your location with strangers or anyone you believe may misuse it.

You should pause or disable location sharing when you do not want others to know where you are, where you live, where you work, where your vehicle is parked, or where you are travelling.

Convoy does not verify the identity, trustworthiness, intentions, or conduct of other users.

7. Accounts, Groups, and User Content

You are responsible for activity under your account.

You must not create, upload, share, or promote content that encourages illegal, unsafe, threatening, abusive, or reckless conduct, including speeding, racing, or dangerous driving.

We may remove content, restrict features, suspend accounts, terminate accounts, or report activity to appropriate authorities if we believe these Terms have been violated or if doing so is necessary to protect users, the public, us, or the App.

8. Privacy

Your use of Convoy is also governed by our Privacy Policy.

The App may collect and process location, speed, route, device, account, and telemetry data. Our Privacy Policy explains what we collect, how we use it, who may receive it, how long we keep it, and how you can request access or deletion where applicable.

Do not use the App if you do not want this type of data collected or processed as described in the Privacy Policy.

9. Subscriptions, Purchases, and App Store Terms

If Convoy offers paid features, subscriptions, or in-app purchases, those purchases may be processed by Apple or another app store provider. Their payment, refund, cancellation, and subscription terms may also apply.

These Terms apply in addition to any applicable app store terms, including Apple's standard licensed application end user licence agreement where applicable.

10. Intellectual Property

The App, including its software, design, branding, content, features, and functionality, is owned by us or our licensors and is protected by intellectual property laws.

We grant you a limited, personal, revocable, non-exclusive, non-transferable licence to use the App for lawful personal use, subject to these Terms.

You must not copy, modify, reverse engineer, distribute, sell, rent, or exploit the App except where the law expressly permits.

11. Disclaimers

To the maximum extent permitted by law, Convoy is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory.

We do not warrant that the App will be accurate, uninterrupted, error-free, secure, available at any particular time, or suitable for any particular purpose.

We do not guarantee that the App will prevent accidents, injuries, traffic violations, unsafe driving, unlawful conduct, or misuse by users.

12. Limitation of Liability

To the maximum extent permitted by law, we and our directors, officers, employees, contractors, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, personal injury, death, property damage, traffic fines, legal consequences, or losses arising from your driving conduct or misuse of the App.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the App or these Terms will not exceed the greater of:

  • the amount you paid us for the App in the 12 months before the claim; or
  • USD $100.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the limitations apply only to the maximum extent permitted by law.

13. Indemnity

You agree to indemnify, defend, and hold harmless us and our directors, officers, employees, contractors, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your use or misuse of the App;
  • your driving or road use;
  • your violation of traffic laws or safety laws;
  • your violation of these Terms;
  • your user content;
  • your violation of another person's rights; or
  • any accident, injury, death, property damage, fine, citation, or dispute connected to your conduct.

14. Termination

We may suspend or terminate your access to the App at any time if we believe you have violated these Terms, created risk for us or others, misused the App, or used the App in a way that may expose us, users, or the public to harm.

You may stop using the App at any time.

Sections intended to survive termination will continue to apply, including sections about safety, disclaimers, limitation of liability, indemnity, disputes, and intellectual property.

15. Changes to the App or Terms

We may update the App or these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as through the App or by updating the "Last Updated" date.

Your continued use of the App after changes become effective means you accept the updated Terms.

16. Dispute Resolution for United States Users

Please read this section carefully. It affects your legal rights.

If you are located in the United States, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if eligible.

You and we waive the right to a jury trial and the right to participate in a class action, class arbitration, private attorney general action, or other representative proceeding.

The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, unless the parties agree otherwise. The arbitration will be conducted in English. The arbitrator may award relief only on an individual basis and only to the extent necessary to resolve your individual claim.

You may opt out of this arbitration agreement within 30 days after first accepting these Terms by emailing contact@tryconvoy.app with the subject line "Arbitration Opt-Out" and including the email address associated with your Convoy account.

Nothing in this section prevents either party from seeking temporary or emergency injunctive relief in court where necessary to protect intellectual property, confidential information, account security, or public safety.

17. Governing Law

These Terms are governed by the laws of New Zealand, except that the arbitration agreement for United States users is governed by the United States Federal Arbitration Act to the extent applicable.

Where any local consumer protection law gives you rights that cannot be waived, these Terms do not limit those non-waivable rights.

18. General

If any part of these Terms is found unenforceable, the remaining parts will remain in effect.

Our failure to enforce any provision is not a waiver of our right to enforce it later.

These Terms, together with the Privacy Policy and any applicable app store terms, form the entire agreement between you and us regarding the App.
